Terms of Service

1. Who we are
CONTOUR ("CONTOUR", "we", "us") is a brand and marketing studio offering CMO-as-a-Service, brand strategy and patient-experience design for surgeons and aesthetic practices. Our principal place of business is Costa Rica. By accessing contourcmo.com (the "Site") or contracting any of our services, you agree to these Terms of Service.
2. Services
We provide consulting, strategic advisory, brand assets, content frameworks and growth audits. Specific deliverables, timelines and fees for paid engagements are defined in a separate written proposal or Statement of Work ("SOW"), which forms part of these Terms. In case of conflict, the SOW prevails over the general Terms for that engagement.
3. Eligibility and accounts
You must be at least 18 years old and legally able to contract on behalf of yourself or the practice you represent. If you create an account or admin access, you are responsible for keeping credentials confidential and for any activity under your account.
4. Fees, billing and refunds
Fees are stated in the applicable SOW. Unless otherwise specified, invoices are due upon receipt. Late payments may suspend service. Strategic consulting time, custom research and creative production are non-refundable once delivered. Unused retainer hours do not roll over beyond the agreed term.
5. Intellectual property
All frameworks, methodologies, templates and pre-existing materials are and remain our property. Upon full payment, the final, client-specific deliverables created under an SOW are licensed to the client for use in their practice. We retain the right to reference the engagement in our portfolio and case studies in a non-confidential way unless we agree otherwise in writing.
6. Client responsibilities
Effective engagements require timely access to information, decision-makers, approvals and source content. Delays caused by the client may shift timelines and do not extend retainer terms.
7. Confidentiality
Both parties agree to protect non-public information shared during the engagement and to use it only for the purpose of delivering the services. Patient health information is never to be shared with us without proper de-identification and consent under applicable law.
8. Disclaimers
We do not guarantee specific marketing, financial or clinical outcomes. The Site and our content are provided "as is" without warranty. Nothing in our deliverables constitutes legal, medical or financial advice.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or in connection with the services will not exceed the fees actually paid to us under the relevant SOW in the three (3) months preceding the event giving rise to the claim. We are not liable for indirect, incidental, consequential or lost-profit damages.
10. Termination
Either party may terminate an engagement with the notice period specified in the SOW (30 days by default). Fees earned through the termination date remain due. Sections that by their nature should survive termination (IP, confidentiality, liability, governing law) will do so.
11. Governing law
These Terms are governed by the laws of the Republic of Costa Rica. Any dispute will be submitted to the competent courts of San José, Costa Rica, unless the parties agree to mediation or arbitration in writing.
